Terms of Service

Effective Date: April 1, 2026

1. Acceptance of Terms

By accessing or using the LactaRoute platform (“Service”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you are using LactaRoute on behalf of a healthcare practice or organization, you represent that you have authority to bind that entity to these Terms.

LactaRoute is operated by Rooted Maternal Wellness LLC d/b/a LactaRoute, a New Jersey limited liability company.

2. Description of Service

LactaRoute is a practice management platform designed for International Board Certified Lactation Consultants (IBCLCs) and lactation support practices. The Service includes:

  • Online scheduling and appointment management
  • Clinical documentation (SOAP notes, encounter records)
  • Superbill and insurance claim generation
  • Client management and care plan delivery
  • Third-party integrations (Google Calendar, Spruce, IntakeQ, Office Ally, Stripe, Availity)
  • AI-assisted transcription and charting (where enabled)

3. Eligibility and Account Registration

LactaRoute is intended for use by licensed or certified healthcare professionals and their administrative staff. By creating an account, you represent that:

  • You are a licensed or certified healthcare provider or authorized staff member.
  • All information you provide during registration is accurate and current.
  • You will maintain the security of your account credentials and are responsible for all activity under your account.
  • You will promptly notify LactaRoute of any unauthorized use of your account.

4. HIPAA Compliance and Protected Health Information

LactaRoute operates as a Business Associate under HIPAA with respect to Protected Health Information (PHI) you upload or generate through the Service. Our Business Associate Agreement (BAA) is incorporated into these Terms and governs our handling of PHI.

You are responsible for: (a) obtaining any required patient authorizations before entering PHI into LactaRoute; (b) using the Service in accordance with HIPAA and all applicable state privacy laws; and (c) ensuring that your use of LactaRoute does not violate any licensing, certification, or professional conduct requirements applicable to you.

5. Subscription and Payment

Access to LactaRoute is provided on a subscription basis. Subscription fees, billing cycles, and plan features are described at the time of purchase and may be updated with 30 days notice.

  • Subscriptions renew automatically unless cancelled before the renewal date.
  • Fees are non-refundable except as required by applicable law or at LactaRoute's discretion.
  • LactaRoute may suspend access for accounts with overdue payments after reasonable notice.
  • Payment is processed through Stripe. By subscribing, you also agree to Stripe's terms of service.

6. Acceptable Use

You agree not to:

  • Use LactaRoute for any unlawful purpose or in violation of any applicable laws or regulations.
  • Upload or transmit content that is false, misleading, or that you do not have the right to share.
  • Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Use the Service to provide services to third parties (resell, sublicense, or white-label) without written permission from LactaRoute.
  • Interfere with or disrupt the integrity or performance of the Service.

7. Intellectual Property

LactaRoute retains all rights, title, and interest in and to the Service, including all software, interfaces, designs, and documentation. These Terms do not grant you any ownership rights in the Service.

You retain ownership of all clinical content, patient data, and other information you enter into LactaRoute (“Your Content”). You grant LactaRoute a limited license to store, process, and display Your Content solely to provide the Service to you.

8. Third-Party Integrations

LactaRoute integrates with third-party services (Google, Stripe, Office Ally, IntakeQ, Spruce, Availity, and others). Your use of those integrations is governed by those providers' own terms and privacy policies. LactaRoute is not responsible for the availability, accuracy, or compliance of third-party services.

9. AI Features

LactaRoute includes AI-assisted features, including audio transcription (via AWS Transcribe or self-hosted Whisper) and clinical note generation (via Anthropic's Claude). These features:

  • Are intended to assist — not replace — your clinical judgment. You remain solely responsible for the accuracy and completeness of all clinical documentation.
  • May produce inaccurate or incomplete output. You are responsible for reviewing and correcting all AI-generated content before it becomes part of a patient record.
  • Process audio and text through HIPAA-covered infrastructure (AWS) and AI providers (Anthropic) under data processing agreements. Audio recordings are processed in real-time and are not retained by LactaRoute or its AI providers after transcription is complete.
  • Are available only on applicable paid plans. LactaRoute may modify, suspend, or discontinue AI features at any time with reasonable notice.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LACTAROUTE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

LACTAROUTE IS A PRACTICE MANAGEMENT TOOL. IT IS NOT A MEDICAL DEVICE AND DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT RECOMMENDATIONS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LACTAROUTE'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO LACTAROUTE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. LACTAROUTE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12. Indemnification

You agree to indemnify, defend, and hold harmless Rooted Maternal Wellness LLC d/b/a LactaRoute, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any PHI you submit to the Service.

13. Termination

Either party may terminate the subscription at any time. Upon termination, your right to access the Service ceases. LactaRoute will retain your data for 90 days following termination, during which you may export it. After 90 days, data may be deleted.

LactaRoute may suspend or terminate your account immediately for violations of these Terms, non-payment, or as required by law.

14. Modifications to Terms

LactaRoute may update these Terms at any time. We will provide at least 30 days notice of material changes via email or in-app notification. Continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of New Jersey. Any dispute arising from these Terms shall be resolved by binding arbitration in New Jersey, except that either party may seek injunctive relief in any court of competent jurisdiction for intellectual property or data security matters.
